CATEGORIES OF AGENT REPRESENTATION ILI recognizes three classes of Agent representation and pays the following commissions based on the Agent’s successful performance within a given category of service. The categories and commissions are as follows:

a. Corporate Agents. A registered business that provides a full line of marketing or recruiting services (market research, advertising, counseling, assistance with school and visa applications, assistance with travel arrangements, and the like). Commissions are paid to the Agent on the initial gross tuition (excluding application, accommodation, travel and other fees) collected by the Agent. ILI does not pay commission on re-registrations. ILI will pay a commission to Agents for Scholarship students whose study period at ILI is extended beyond the coverage of the scholarship.

b. Referral Agent. A person or corporation that actively promotes ILI but does not provide full support services for a student’s registration and travel. Commissions are paid to Referral Agents on the initial gross tuition (excluding application, accommodation, travel and other fees) collected by ILI after the student arrives and begins classes.

c. Finding Agent. A person or corporation that actively promotes ILI and is instrumental in ILI’s signing a project contract. Commissions are paid to Finding Agents on the amount of the initial contract signed. These commissions are paid after ILI receives payment in full from the client. In the case of English Canada Franchise Agreement, the finding fee is based on the initial franchise fee.

The following ILI AGENT AGREEMENT states the terms under which an authorized Agency agrees to serve as an ILI Agent.

Agent will recruit students for ILI. Normal promotion costs will be borne by the Agent.

The Agent will use the ILI Application Form that is available online at http://www.ili.ca/application.php for all student applications for admission to ILI. If the Agent prints the form and submits it by facsimile transmission, courier, or conventional mail, the Agent will place its name or stamp on the application.

The Agent will honour all ILI policies and procedures, especially those relating to the payment of fees to ILI and the refund of pre-paid tuition to the student.

If the Agent completes or signs an application on behalf of a student, the Agent commits the student to honour ILI policies and the terms and conditions of ILI’s Application Contract.

The Agent will pay ILI by telegraphic transfer according to the instructions provided on ILI’s invoice. The payment must specify the name and ID number of the student(s) for which the payment is being made.

Upon request, the Agent will provide ILI with a brief description of the services it provides for potential ILI students and a schedule of the fees that students pay for these services.

Upon request, the Agent will inform ILI of any agreements it has with "sub-Agents" who may act on ILI's behalf. ILI reserves the right to approve any agreements that the Agent may have with such sub-Agents.

ILI will provide the Agent with adequate promotional materials about ILI.

If ILI receives an application with the Agent’s stamp directly from the Agent, and if the student is accepted, ILI will send the Agent separate invoices for the fees, one showing the net, the other showing the gross amount. The student will make the gross payment to the Agent, and the Agent will remit the net amount to ILI. ILI will then send the student's letter of acceptance to the Agent. If the student prefers to pay ILI directly, the Agent will notify ILI, and ILI will regard the payment as having been made by the Agent. In such situations, ILI will still send all correspondence through the Agent and will pay the Agent a commission at the rate of the Agency’s classification.

ILI will calculate commissions payable to the Agent as a percentage of only the tuition portion of the student’s registration. ILI does not pay commissions on accommodation fees or other student charges.

ILI will pay the Agent a commission only on the initial registration of the student. ILI does not pay commissions on student extensions or re-registrations.

Periodically, ILI will send general information to the Agent concerning new programs and activities at ILI.

ILI will provide current information regarding its policies, regulations, and fees on the ILI Agent website.

ILI will inform the Agent of any agreements that ILI has with colleges and universities that enable students to apply for college or university admission through ILI and to satisfy their English language requirement by successfully completing ILI’s University Preparatory English course.

ILI reserves the right to accept or reject any student.

Neither Party shall disclose or appropriate to its own use or to the use of any third party at any time during or subsequent to the term of this Agreement any information of the other Party. Such secret or confidential information includes, but is not limited to information pertaining to details of the arrangements between ILI and the Agent except as required in connection with the either party’s fulfillment of this Agreement or as required by a governmental authority. Either Party shall have the right to obtain injunctive relief, without bond, for violation of the terms of this paragraph and the terms of this paragraph shall survive the term of this Agreement.

ILI will provide a full refund of pre-paid tuition and fees (other than the non-refundable application fee) upon written confirmation by the appropriate Canadian embassy or high commission that the student was not authorized to study in Canada. In such cases, ILI will send the net amount of the student’s payment to the Agent, and the Agent will send the gross amount to the student.

ILI and the Agent will share the costs of any special projects to which they may agree. If either party wishes to propose a project, the initiating party will prepare a proposal and budget for review by the other. Neither party will be responsible for costs incurred by the other without a written agreement to do so.

All financial transactions between ILI and the Agent will be in Canadian dollars.

In the case of students whose tuition and/or fees are paid under a government-sponsored scholarship, the following procedures will apply:

a) The Agent will send completed student applications to ILI;

b) The Agent will send ILI the documentation that confirms that the student is a government scholarship recipient and indicates what fees the scholarship will cover;

c) Upon receipt of (a) and (b), ILI will promptly send Letters of Acceptance to the Agent;

d) ILI will invoice the student for those fees that the scholarship does not cover and send the invoice to the Agent; the student must pay this invoice directly at least 30 days before arrival to ensure appropriate accommodation;

e) As soon as the student arrives in Halifax, ILI will invoice the appropriate government office for the fees that the scholarship covers;

f) ILI will pay the Agent‘s commission on the student’s tuition (only) promptly upon receipt of payment from the government sponsor; and

g) Whenever possible, all the above procedures will be conducted by email and/or electronic transfer.

h) The Agent will receive a commission from ILI for each extension that the scholarship student receives to continue his or her studies at ILI.
